General Terms and Conditions

 FRONTIA ATTORNEYS LTD GENERAL TERMS AND CONDITIONS

  1. These General Terms and Conditions apply to all advocacy services provided to clients by Frontia Attorneys Ltd (“Frontia”) regardless of whether their applicability has been expressly agreed on. In the exceptional case that these General Terms and Conditions are not applied to a certain engagement, this shall be agreed on in writing between Frontia and the client.

  2. In relation to handling engagements, Frontia and its personnel (partners and other employees) follow the client’s instructions, applicable legislation, and the Code of Conduct of the Finnish Bar Association.

  3. Frontia offers its clients advocacy services in the field of commercial dispute resolution and dispute prevention, competition law, and public procurement in the realm of Finnish law.

  4. The more specific content and scope of the advocacy services provided by Frontia with respect to each engagement are separately agreed between Frontia and the client in an engagement letter or otherwise at the onset of engagement. An engagement for advocacy services always constitutes a contractual relationship between Frontia and the client.

  5. An engagement between Frontia and the client is confidential. Unless the client expressly denies it, Frontia may communicate on its website or in other marketing material that it has acted on behalf of the client in a certain case once the matter has become public.

  6. The client shall inform Frontia whether Frontia is required to set up and maintain an insider register to ensure that the client complies with the EU Market Abuse Regulation (EU) N:o 596/2014.

  7. Frontia charges the client an engagement fee based on what has been separately agreed on with the client. In principle, the engagement fee consists of a time-based hourly rate. Unless otherwise agreed on, the listed rates of Frontia applicable at any given time are applied. Value added tax is added to the engagement fee in accordance with applicable tax legislation. Additionally, Frontia charges the client for any expenses incurred in relation to handling the engagement, such as authority charges and court fees, invoicing of external advisers or agents, travel expenses, and courier expenses.

  8. Frontia charges the engagement fee and expenses from the client on a monthly basis in accordance with the invoicing instructions received from the client. The invoice is due within 21 days from the date of the invoice. In case of late payment, Frontia may incur late-payment interest in accordance with the Interest Act (633/1982) and under its discretion may also discontinue handling the engagement.

  9. Frontia owns the copyright and other intellectual property rights for all documents generated in relation to the engagement. Correspondingly, the client may use the documents generated by Frontia in relation to the engagement solely for the purpose that Frontia has generated them for.

  10. Frontia’s liability for damages to the client is limited to 400,000.00 (four hundred thousand) euros in all instances. Frontia assumes no liability for any indirect loss, loss that is difficult to foresee, or consequential loss to the client. Further, Frontia assumes no liability for loss to a third party. Frontia’s liability towards the client is reduced by the amount which the client may obtain from Frontia’s liability insurance.

  11. These General Terms and Conditions are governed by the laws of Finland. Any disputes arising from these General Terms and Conditions shall be settled by arbitration in accordance with the Arbitration Rules of the Finnish Chambers of Commerce. The client may also present a disagreement concerning the fee to the Disciplinary Board of the Finnish Bar Association to be resolved as a fee dispute matter.
